The five simple step involved in changing a company’s name with ease involves:
Step 1: Passing a Board Resolution
A resolution to change the company's name must be approved by the board of directors at a meeting. Zolvit experts will help you in getting the new name approved by the directors. We will then designate a company secretary (CS) to contact the MCA to inquire about the proposed name's availability.
Step 2: Checking for Name Availability
The authorised Zolvit expert will then apply to the MCA in form INC-1 for checking the availability of the proposed name. Our experts may also run a trademark search for the proposed name.
Step 3: Passing Special Resolution
Our experts will then help you call an extraordinary general meeting as soon as the new name is confirmed to be available. This meeting is necessary to change the name and make the necessary adjustments to the AoA and the MoA, through a special resolution.
Step 4: Applying to the Registrar
Within 30 days of passing the special resolution and the filing form MGT-14, which contains information about the special resolution, the same must be submitted to the RoC.
Do note that Form INC-24 must be submitted to RoC along with the required fee within 30 days of submitting the MGT-14. This is necessary in order to get the central government's approval for the name change.
Step 5: Issuance of the Certificate of Incorporation
The RoC will then issue a new certificate of incorporation reflecting the name change once it is completely satisfied with the application and any supporting documentation.
